What you are purchasing is a non-exclusive license to use Okay Type’s Fonts in a specific way. You are not purchasing the copyright to the Fonts or their designs, only the permission to use the fonts in the ways described in this agreement.
This license covers the use of the Fonts by a specific number of users, on a specific number of computers, in a single business entity. This number is calculated by counting the total number of computers or devices the Fonts will be installed on or accessible from. If a computer is shared by more than one person, each additional person will count as an additional user.
A business entity with multiple locations or remote employees may cover all its users at all its locations as long as the number of licensed users is large enough to cover the total number of users and computers who may potentially use the fonts, regardless of whether or not they will be using them simultaneously.
4 Third Parties
This license can not be shared by multiple companies, such as between a designer and client, or by individuals, such as two designers working independently. Any clients, business partners, or third parties are required to purchase their own licenses in order to use the Fonts. This also applies to any temporary employees, independent contractors, or freelancers who either work off-site or on their own equipment.
5 Server Installation
You may install and use the Fonts on a single file server for use on a local area network (LAN) only when your number of licensed users is large enough to cover the total number of users and computers who may potentially use the fonts, regardless of whether or not they will be using them simultaneously. Use of the Fonts on a wide area network (WAN) or any other system that allows remote access is not allowed without a special license upgrade (email@example.com).
You are allowed to make one archival copy of the Fonts exclusively for the purpose of backing up the files and you must retain exclusive custody and control over that copy. The unauthorized sharing, lending, renting, sale, or other unauthorized use of the back-up copy (or the original Fonts) is a material breach of this agreement and will result in the immediate termination of this license and possible further legal action.
You may not create or help create modified versions of the Fonts without first obtaining written permission from Okay Type. This includes, but is not limited to, creating additional styles or weights, adding or editing characters, modifying the spacing or kerning, or converting the Fonts to another digital format.
8 Service Bureaus
If necessary, you may send a copy of the Fonts to a commercial printer or service bureau only if they agree to use it exclusively for your document and destroy any copies of the Fonts when the job is completed. If they are providing typesetting services or editing the document they must purchase their own license.
9 Use on the Web
This license is for desktop use of the Fonts only. They may not be used with any internet font replacement technologies without first obtaining the appropriate license extension from Okay Type (firstname.lastname@example.org). This includes @Font-Face, EOT, EOTlite, WOFF, TTF, OTF, SVG, Flash, sIFR, Cufon, Typeface.js, or any other technologies that utilize letterforms dynamically.
10 Use in Apps, eBooks, Software, Games, Devices, Etc.
You may not embed, encapsulate, or include the Fonts in an application (iOS, Android, Mobile Windows, etc.), digital publications, electronic device, video game, software, or other piece of computer technology without first obtaining the proper license extension from Okay Type (email@example.com).
11 Use in PDF Files for Production
You may embed the Fonts into an electronic document, such as a PDF, that you send to a third party for only for the purposes of proofing or reproduction provided that document is read-only (allows no editing).
12 Use in PDF Files for Distribution
You many not embed the Fonts in a PDF for public distribution, such as linking from a website or as a newsletter, without first obtaining written permission or purchasing the proper license extension (firstname.lastname@example.org). This includes use of PDFs in eBooks, Mobile Applications, and other Software.
13 Other Embedding
The fonts can not be embedded in Flash, Word, PowerPoint, Excel, Pages, Keynote, Numbers or any other editable or dynamic document files.
14 Use In Alphabet or Letterform-Related Products
You many not use the Fonts, or the designs embedded within, on any alphabet or letterform-related products, or letterform creation products or devices, without first obtaining written permission from Okay Type. This includes but is not limited to scrap-booking and signage products that involve the reproduction of individual letterforms.
15 Troubleshooting and Refunds
Okay Type will do everything in its power to help you resolve any technical difficulties you may have with the Fonts. If, after all reasonable attempts to solve the issue are made, you are still unsatisfied with the performance of the Fonts, we will refund your money and terminate this license, which will be the limit of our liability. Due to the digital nature of the Fonts, Okay Type can not offer refunds for any other reason.
This license is issued to you or your business entity, and can only be transferred after obtaining written permission from Okay Type (email@example.com). Under no conditions may you resell this license.
This license is effective until terminated. Okay Type has the right to terminate it immediately if you fail to comply with any terms described above. In addition, Okay Type reserves the right to claim punitive damages. Upon such termination you will destroy any copies of the fonts including back-ups.
18 Other Terms
Okay Type reserves all rights not expressly granted to you under this agreement. If you are unsure whether your use is permitted, please contact Okay Type (firstname.lastname@example.org).
